Nondisclosure Agreement
Elite Player Panel

This Nondisclosure Agreement (the "Agreement") is entered into by and between IGT, a Nevada corporation, and Receiving Party (identified below).  Receiving Party has been invited to participate in IGT’s Elite Player Panel. Members of IGT’s Elite Player Panel are among the first people outside of IGT to view or experience IGT’s newest games and related materials. IGT receives valuable feedback from the members of its Elite Player Panel. During the course of Receiving Party’s membership in IGT’s Elite Player Panel, Receiving Party may receive or view Confidential Information from IGT.
Confidential Information. For the purposes of this agreement, Confidential Information means any non-public information disclosed by IGT to Elite Panel members through communications, surveys, online focus groups, and in-person focus groups, and may include, but is not limited to: images, videos, demos, descriptions of and sample marketing materials for new games, game features or aspects thereof.
Exclusions from Confidential Information. The Elite Player Panel Member’s obligations under this Agreement do not extend to information that is publicly known at the time of disclosure or subsequently becomes publicly known through no fault of the Receiving Party.
Restrictions. The Receiving Party agrees that Confidential Information is and will remain the property of IGT, and will not disclose such information to a third party or make public in any way. The Receiving Party agrees to not use the Confidential Information for any purpose other than for providing feedback to IGT. Receiving Party agrees not to share their impressions of the Confidential Information with third parties outside of IGT or the Elite Player Panel.
Time Periods. The nondisclosure provisions of this Agreement shall survive the termination of this Agreement and Receiving Party's duty to hold Confidential Information in confidence shall remain in effect until the Confidential Information no longer qualifies as confidential information (i.e., is in the public domain).
